Zepto's IPO Faces Valuation Challenges Amid Profitability Concerns

Zepto's upcoming IPO is projected at a valuation of $5.1 billion, significantly lower than its peak valuation, as investors express concerns over profitability.

Quick commerce major Zepto is poised to make its stock market debut at a valuation significantly below its peak private valuation of $7 billion. This adjustment comes as investors grapple with concerns regarding the company's profitability and cash burn, set against a backdrop of geopolitical uncertainty and market volatility. The quick commerce sector, which focuses on delivering goods to consumers in a matter of minutes, has seen explosive growth in recent years, especially in urban areas where consumers demand convenience and speed. However, this growth has also led to intense competition among players, which has put pressure on profit margins and operational efficiencies.

Foreign investors have shown interest in Zepto’s upcoming IPO at a pre-money valuation of approximately $4.5 billion, which translates to a post-money valuation of around $5.1 billion. This valuation represents a significant drop from its earlier valuation, reflecting the cautious sentiment among investors who are increasingly prioritizing profitability over growth at all costs. Despite this valuation discount, the IPO continues to attract strong institutional investor interest. Notably, Norway’s sovereign wealth fund Norges and Motilal Oswal are expected to collectively account for about 40-45% of Zepto’s anchor book, showcasing a level of confidence in the company's long-term prospects despite current challenges.

The valuation details were initially reported by Bloomberg, while Moneycontrol provided insights into the anchor investor details. Additionally, the IPO has garnered interest from domestic institutional investors, with the anchor book nearing completion. The participation of prominent institutional investors can be seen as a vote of confidence in Zepto's business model and potential for future growth, even as the company navigates a challenging financial landscape.

It is important to note that the valuation remains fluid until the anchor book closes and the final price band is announced. The eventual pricing is anticipated to depend on investor demand and prevailing market conditions. The IPO market has been characterized by volatility in recent months, with many companies facing difficulties in achieving their desired valuations due to a combination of external economic factors, including rising interest rates and inflationary pressures, which have led to a more cautious investment climate.

The IPO Roadmap

The discussions surrounding Zepto's valuation come at a time when investors are increasingly prioritizing profitability and cash flow. This trend could complicate matters for new-age tech companies striving to achieve the lofty valuations they once commanded in private markets. The shift in investor sentiment towards a focus on sustainable business practices and profitability is indicative of a broader trend in the tech industry, where many companies have previously prioritized rapid growth over financial health.

Last month, Zepto filed its updated UDRHP for its planned IPO. The issue comprises a fresh issue of shares worth ₹8,010 crore and an offer for sale (OFS) of up to 11.35 crore shares. The funds raised through the IPO are intended to support Zepto's ambitious growth plans, which include expanding its network of dark stores—facilities that allow for rapid order fulfillment in urban areas.

Zepto plans to allocate ₹1,629 crore from the fresh issue to establish 1,904 dark stores by FY30, alongside another ₹1,734.9 crore for lease payments related to these facilities. Additionally, ₹1,324.8 crore is earmarked for technology and cloud infrastructure, while ₹520 crore will be directed towards marketing through its marketplace subsidiary. The remaining proceeds will be utilized for potential acquisitions and general corporate purposes, reflecting a strategic approach to growth that balances expansion with the need for operational efficiency.

Despite these plans, Zepto reported a widening net loss of ₹5,095 crore in FY26, compared to ₹4,697 crore the previous year, even as operating revenue nearly doubled to ₹22,624 crore. This juxtaposition of growing revenues alongside increasing losses underscores the challenges faced by the company in achieving profitability. The widening losses could raise concerns among potential investors about the sustainability of Zepto's business model in the long term.

However, the UDRHP also highlighted improvements in operational efficiency. The adjusted EBITDA loss per order narrowed to ₹79 from ₹136 in FY25, while free cash flow burn per order decreased to ₹68 from ₹161, driven by higher order density, improved dark store productivity, and the growth of high-margin businesses such as advertising, which generated ₹1,636 crore in FY26. These indicators suggest that while Zepto is still grappling with overall profitability, there are signs of operational improvements that could bode well for its future financial health.

Despite these gains, Zepto continues to report negative operating cash flows and a free cash flow deficit of ₹4,330 crore, indicating that profitability remains a distant goal. The persistent cash burn raises questions about the company's ability to sustain its current growth trajectory without further investment, making the upcoming IPO a critical juncture for its financial future.

In anticipation of the IPO, Zepto is also expanding its offerings to enhance its top and bottom lines amid fierce competition in the quick commerce sector. The startup has introduced Zepto Club, an invite-only membership program, marking its return to subscriptions after discontinuing Zepto Pass and Zepto Daily. This strategic pivot towards a membership model reflects an effort to build customer loyalty and increase the lifetime value of its users.

Priced at an introductory ₹99 per month, Zepto Club offers benefits such as 5% cashback in Z-Coins, free delivery on eligible orders, priority delivery, and exclusive offers. The introduction of membership programs can be a significant driver of revenue and customer retention, especially in a market where consumers have numerous options for quick commerce services.

This launch comes shortly after reports surfaced that Zepto is exploring a premium grocery service called Select within its app, which is expected to provide imported food, gourmet groceries, and other premium products. This offering is still in its early stages, and branding has yet to be finalized. The expansion into premium offerings aligns with trends in consumer behavior that indicate a growing appetite for high-quality, specialty products, providing Zepto with an opportunity to differentiate itself from competitors.
