The National Stock Exchange plans to launch a ₹30,000 crore IPO in September, involving a 6% equity divestment by major shareholders.

The National Stock Exchange (NSE) is setting its sights on a significant milestone in the Indian financial landscape with plans to launch an initial public offering (IPO) estimated at approximately ₹30,000 crore in September. This anticipated move has garnered considerable attention from investors and market analysts alike, as it positions the NSE as a key player in the Indian capital markets.

Valued at over ₹5 lakh crore, the NSE stands as the largest stock exchange in India, facilitating a substantial volume of trading across various financial instruments, including equities, derivatives, and commodities. The upcoming IPO is expected to be a landmark event, not only for the exchange but also for the broader Indian economy, as it reflects the growing maturity and attractiveness of India's capital markets to both domestic and international investors.

As part of the IPO process, the NSE plans to conduct a series of roadshows aimed at generating interest among potential investors. These roadshows are critical for educating investors about the exchange's value proposition, financial health, and growth prospects. If the IPO is successful, it will surpass the previous record held by Hyundai Motor India's ₹27,870-crore public offering launched in October 2024, highlighting the increasing scale of capital raising activities in India.

The proposed public issue will be structured entirely as an offer for sale (OFS) of 14.89 crore equity shares, with existing shareholders collectively divesting nearly 6% of the exchange's equity. This strategy allows current shareholders to monetize their investments while providing new investors with an opportunity to participate in the ownership of the exchange. The draft red herring prospectus (DRHP) filed in June outlines the details of the share offering and the stakeholders involved. Notably, NSE has approximately 1.8 lakh shareholders, indicating a broad base of ownership that reflects the exchange's importance in the financial ecosystem.

Among the major stakeholders participating in the OFS, the State Bank of India plans to offload up to 2.48 crore shares, representing a significant divestment by one of the country's largest public sector banks. MS Strategic (Mauritius) Ltd is also set to sell 1.60 crore shares, while other notable shareholders include the Canada Pension Plan Investment Board, Aranda Investments (Mauritius) Pte Ltd, Bank of Baroda, Stock Holding Corporation of India Ltd, General Insurance Corporation of India, The New India Assurance Company, National Insurance Company, and United India Insurance Company. However, it is worth noting that the Life Insurance Corporation of India (LIC), which holds a 10.72% stake in the NSE, will not participate in the share sale, retaining its investment in the exchange.

The NSE's board approved the proposed IPO on February 6 after receiving a no-objection certificate (NOC) from the Securities and Exchange Board of India (Sebi), the regulatory authority overseeing the securities market in India. This approval marks a significant step forward for the exchange, which has been working diligently to address previous concerns raised by Sebi. The NSE had initially filed draft papers for its IPO in 2016, aiming to raise around ₹10,000 crore through an OFS. However, the proposal faced hurdles due to governance issues, particularly related to the controversial co-location matter, which raised questions about the fairness and transparency of trading on the exchange.

Since the initial filing, the NSE has implemented a series of governance and compliance measures to enhance its operational integrity and restore investor confidence. The exchange has made several representations to the regulator, demonstrating its commitment to addressing past concerns and aligning with best practices in corporate governance. This proactive approach has played a crucial role in securing the necessary approvals for the upcoming IPO.

To facilitate the public issue, the NSE has enlisted a team of 20 merchant bankers, along with legal advisers and other intermediaries, to manage the complexities of the IPO process. The involvement of seasoned financial professionals is expected to streamline the offering and ensure that it meets regulatory requirements while maximizing investor interest.

From a financial perspective, the NSE reported a 15% decline in profit after tax, amounting to ₹10,302 crore for the fiscal year 2026, down from ₹12,188 crore in fiscal year 2025. Additionally, total income eased to ₹18,713 crore during the fiscal year, compared to ₹19,177 crore the previous year. Despite these figures, the exchange demonstrated resilience in the March quarter, with profit after tax rising 8% to ₹2,871 crore from ₹2,650 crore in the corresponding period of the previous financial year. Total income also saw a notable increase of 22%, reaching ₹5,360 crore compared to ₹4,397 crore a year earlier, indicating a positive trend in the exchange's performance.

In the context of the upcoming IPO, it is important to note that the Indian capital markets have witnessed a surge in public offerings in recent years, driven by a combination of factors including a favorable economic environment, increased retail participation, and a growing appetite for investment in equities. Close on the heels of the NSE's announcement, Reliance Industries-promoted Jio Platforms also filed its draft papers with Sebi in June, positioning itself to potentially become the largest public issue in the history of the Indian stock market. This trend underscores the dynamic nature of the Indian financial landscape, where large-scale capital raising activities are becoming increasingly common.

The implications of the NSE's IPO extend beyond the exchange itself. A successful offering could enhance the liquidity of the Indian stock market, attract foreign investment, and bolster the overall confidence of investors in the Indian economy.
